 How to proceed with Design Deposit?
If you would like to proceed with the revisions process, simply request an invoice or send a check with 15% of the preliminary estimate. We accept bank transfers, credit cards and various other forms of payment securely through QuickBooks.

Why is there a Design Deposit?
To ensure the seriousness of the project and to facilitate the commencement of revisions and other project-related tasks, a Design Deposit is required for any project revisions beyond the preliminary bid. This deposit represents a 15% down payment of the current project bid and will be credited toward the total project. This payment is not an additional fee but serves as a commitment from the Client to move forward with the project. No further revisions, detailed drawings, or measurements will be provided until this payment is received.

What is included with the Design Deposit?

  1. High priority status – We can immediately and fully dedicate our time and resources to your project.

  2. Full set of high-quality 2D and 3D drawings – Visually detailed renderings that reflect the finalized design.

  3. Includes 2 revisions – Revision 1 and 2 are included, subsequently a $250 fee will be added to the job total for each revision.

  4. Full set of field measurements – Precise on-site measurements to ensure perfect cabinetry fit.

  5. Trades conflicts assessment – Identification and resolution of potential conflicts with other trades (e.g., electrical, plumbing, HVAC).

  6. Appliance Model Number Tracking – We will track all appliance model numbers provided by the Client to ensure precise measurements and proper fit within the cabinetry design.

  7. Detailed material specifications – Clear documentation of all materials to be used, including wood types, finishes, and hardware.

  8. Custom door and drawer profile options – Design of custom door and drawer styles to enhance the overall look.

  9. Hardware options – Catalog of available hardware that can be pre-drilled and installed www.hardwareresources.com/hr-collections

  10. Full project scope review – Comprehensive review of all work to be performed, ensuring alignment with the Client's vision.

  11. Professional consultation with our design team – One-on-one discussions to finalize design decisions and answer any questions.

Payment Structure
• All jobs require 15% Design Deposit
• 65% down before production, 35% due within 7 days of installation
• Jobs <$10k, change orders, remodels, and homeowners require 100% down

Agreement by Receipt of Payment
By submitting payment, the Client explicitly acknowledges and agrees to all terms, drawings, and specifications detailed in this contract. The Scope of Work is defined by the specifications in the latest approved revision and any subsequent drawings, which are provided to Client at the time of Invoicing, and all of which are incorporated herein by reference to be the entire scope of work and nothing more. Any deviations must be approved in writing via a change order. Any modifications to the agreed-upon scope, drawings, or specifications after payment will require a separate written change order and fees, which will incur additional charges and may result in delays in the project timeline. All payments made are non-refundable, as production begins immediately upon receipt of payment.

Paint and Touchups
All paint services are provided exclusively in Satin Sheen. One color is included in the price, additional colors are $500/ea. One round of touchups is included in the paint package and scheduled at the very end of the job. Touchups are defined as localized corrections for minor surface damage, such as scratches, chips, or dings, incurred during transport or installation. These touchups serve to camouflage the imperfections and are not intended to achieve perfection. Perfection is not guaranteed and imperfection is not considered a defect. Client acknowledges cabinetry as a handmade product and will have imperfections are inherent to it’s design and nature. Touchups address defects visible from 3 feet under normal lighting conditions, excluding natural wood variations, joint cracks under 1/16 inch, or wear from use.


Additional touchups beyond the first round will require a new bid and approval through a separate change order or may be completed by third-party contractors at the Client's expense.

Texture and sheen variations, screw holes affixing cabinets to the walls, color variations due to lighting or wood grain, thinning of paint in high-contact areas, overspray in hidden spots or overspray from touchup, hairline cracks in joints, and minor sheen differences between surfaces are expected, normal, acceptable, and not considered defects. Defects will only be considered for touchup if they are visible at arm’s length, under both built-in lighting and natural light, and without the use of visual aids such as flashlights or magnification.

BCC isn’t liable for environmental damage from its operations or it’s subcontractors, barring gross negligence, as Client assumes site-related risks.

Door and Drawer Adjustments
One round of door and drawer adjustments is included after the painting process has been completed. Adjustments include ensuring proper alignment, smooth operation, and even spacing of doors and drawers. Overlay, Fully Overlay, and Inset cabinets have a standard door gap reveal of ~1/8”. Frameless cabinets have a standard door gap reveal of 3/16”. Any additional adjustments requested after the initial round will require a separate service call and will be billed at BCC’s standard rate of $50 per hour with a minimum of $250 callout fee.

 

Floor Trim and Fitment to Existing Floors
BCC does not provide floor trim installation or adjustments to accommodate uneven or unlevel finished floors. The Client is solely responsible for ensuring that the finished floor is level and ready for cabinet installation. BCC will not match tile outlines, address uneven floor heights, or correct floor conditions.
It is the Client’s responsibility to correct any floor issues prior to installation. If the floor is found to be unlevel, uneven, or otherwise unsuitable for cabinet installation, BCC reserves the right to either reschedule the installation for an additional callout fee or proceed with the installation using shims and blocking.

Appliance Panels:
Appliance panels are excluded. Once the appliances are on-site and installed, BCC can produce a new bid or change order for the appliance panels. Upon receipt of payment, the panels will be manufactured, however the Client remains responsible for their installation.

Hardware Installation:
Hardware installation is excluded unless purchased directly from BCC, in which case installation is included. The Client must provide final hardware specifications (part number and finish) before production begins. Delays in providing specs will result in project delays, as production cannot start without this information. If hardware specs are not provided before the 65% payment, BCC will proceed without pre-drilling, and Client is responsible for hardware installation unless purchased from BCC, in which case installation is included.

Delivery and Installation Terms
Delivery and installation are included F.O.B. job site. Risk of loss transfers to Client upon delivery to the site. Client must ensure that all trade conflicts per the provided trade conflict email/document are resolved prior to the scheduled delivery date. If any conflicts prevent installation at the time of delivery, BCC reserves the right to reschedule installation for the next available date. If installation is delayed due to unresolved trade conflicts, Client incurs a $250 rescheduling fee per occurrence, with a maximum of two reschedule attempts before termination rights apply. The Client is responsible for coordinating with all third-party contractors to ensure the worksite is ready for installation.

Trimming Techniques and Finish Adjustments
BCC reserves the right to employ varying techniques to trim and finish the installed cabinetry for a complete and polished appearance, including but not limited to scribing cabinets directly to walls or using scribe strips to cover gaps deemed too large for caulk alone. These methods are at BCC’s discretion, based on industry standards and the specific conditions of the Client’s site. The Client acknowledges that such techniques are standard practice to accommodate natural variations in walls, floors, or other structural elements, and that minor visible differences in trim application (e.g., scribe lines or strip edges) do not constitute defects. BCC will perform these adjustments with reasonable care to ensure a professional finish, but perfection in gap concealment is not guaranteed due to site-specific factors beyond BCC’s control.

Estimated Timelines and Project Updates
All estimated timelines provided by BCC are non-binding and are based on current production capacity and availability of resources. As such, BCC does not guarantee specific completion or delivery dates. The Client acknowledges that any project delays are beyond BCC's control unless explicitly stated otherwise in this contract. BCC is not liable for indirect, special, or consequential damages, including lost profits or opportunities.

Revisions and Design Deposits
Two revisions are included at no additional charge. Each subsequent revision will incur a fee of $250, which will be added to the final invoice. Major design changes may require resubmission for approval and could result in additional charges based on material and labor impacts.
A non-refundable design deposit of 15% of the total preliminary project cost is required before any design revision work begins. This deposit will be credited toward the total project cost upon contract finalization.

Payment Terms

  • All Jobs require a 15% design deposit.

  • 65% of the total, including the design deposit, is due upon Client’s approval of final drawings and before production begins.

  • The remaining 35% is due within 7 days of installation completion, defined as cabinets affixed to walls and fully operational, excluding touchups or adjustments. If the remaining 35% is not paid within 7 days of installation completion, a late fee of 1.5% per month shall accrue on the unpaid balance, and BCC may suspend any remaining services (e.g., touchups, adjustments) until payment is received.

  • Change Orders, jobs under $10,000, jobs where the homeowner is the Client, and all remodels jobs, require payment in full (100%) prior to production.

BCC may recover reasonable attorney fees and costs incurred to enforce any provision of this contract, including but not limited to payment disputes, lien filings, or repossession actions."

Warranty and Service Terms
BCC provides a 12-month limited warranty from the date of installation, guaranteeing that all custom cabinets will be constructed and installed according to the specifications outlined in this contract. The warranty covers defects in materials and workmanship under normal use and service conditions.
This warranty does not cover:

  • Damage caused by misuse, abuse, accidents, or improper maintenance.

  • Normal wear and tear, aging, fading, or discoloration due to exposure to sunlight or environmental factors.

  • Damage caused by third-party contractors, improper storage, humidity, water, temperature fluctuations, or modifications made after installation.

  • Cosmetic imperfections related to natural variations in wood grain, texture, or minor finish imperfections, such as small dust particles in non-visible areas or minor sheen differences.
    Warranty claims must be submitted in writing. BCC will respond within 14 days and schedule repairs within 30 days, subject to availability. Non-warranty service fees are due upon completion.
    Warranty service calls are provided free of charge within the 12-month warranty period, subject to the exclusions listed above. Non-warranty service calls will incur a minimum charge of $250, plus $50 per hour for labor. All service call payments are due upon completion of the service.

Job Site Cleanliness and Dust Liability:
BCC is not responsible for the cleaning of cabinets after installation, nor for the removal of dust or debris generated at the job site during or after the installation process. The Client acknowledges that the installation of cabinetry may result in dust and agrees that BCC is not liable for any cleaning or dust removal, including cleaning related to other trades on-site or post-installation dust accumulation.

Mechanic’s Lien and Retention of Ownership
If the Client fails to make payments according to the contract schedule, BCC reserves the right to file a mechanic’s lien on the property where the cabinetry has been installed to secure unpaid amounts. BCC may file a mechanic’s lien if payments are overdue by 30 days, following required statutory notices and will provide notice of intent to file a lien via certified mail at least 15 days prior, per Texas Property Code Chapter 53. Client waives objections to lien enforcement. The Client acknowledges and consents to this process in the event of non-payment.

BCC retains full ownership of all cabinetry until the final payment has been made. The Client agrees that they have no ownership rights, even if the cabinetry has been installed. In cases of non-payment, BCC reserves the right to repossess the cabinetry without further notice.

Dispute Resolution
In the event of any dispute arising out of or relating to this contract, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the parties are unable to resolve the dispute through negotiation within 30 days, the dispute shall be submitted to mediation under the rules of the American Arbitration Association. If mediation is unsuccessful, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction. Arbitration shall occur in Victoria County, Texas, governed by Texas law.

All costs associated with arbitration under this Agreement, including but not limited to filing fees, administrative costs, and arbitrator fees, shall be borne by the party initiating the arbitration, unless the arbitrator determines otherwise based on the merits of the case. Each party shall bear its own attorney fees and related expenses, except where the arbitrator awards such costs to the prevailing party under applicable law. The Client acknowledges that this cost allocation is a material term of the arbitration process, designed to ensure fairness and efficiency in dispute resolution.

Force Majeure
BCC shall not be held liable for any delay or failure to perform its obligations under this contract if such delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, labor strikes, pandemics, supply shortages, government restrictions, or other events of force majeure. Neither party is liable for delays due to force majeure events… Client remains obligated to provide site access unless prevented by such events, and partial payments for completed work remain due.

Severability
If any provision of this contract is found to be illegal, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a provision that is legal and enforceable and that most closely reflects the original intent of the invalid provision.

Indemnification
The Client agrees to indemnify, defend, and hold harmless BCC, its officers, employees, and subcontractors from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from: (a) Client’s negligence, willful misconduct, or breach of this contract; (b) incidental damage to the job site or surrounding property during BCC’s services, unless caused by BCC’s gross negligence or willful misconduct; and (c) use or handling of incomplete or unfinished products by Client or third parties.

Approved Design Adjustments
The approved design and dimensions will require slight modifications to fit the finished spaces, determined by our final field measurements. Any significant changes will be communicated through the 'Trades Conflicts Document'. All parties acknowledge and agree that such changes are permissible and shall not constitute a breach of this agreement.

Intellectual Property, Confidentiality, & Design Security
All designs, drawings, estimates, and related materials provided by BCC are proprietary and remain the exclusive property of the Company. They are provided solely for the purpose of evaluating and approving the specific project outlined in this agreement. Any unauthorized use, reproduction, or distribution of these materials, including pricing, without written consent, is prohibited and may result in liability for damages, including design fees, full project costs, and legal fees. All digital files are password-protected and encrypted, and the Client agrees not to share or disclose them or any related materials to third parties without prior authorization.

Liability Disclaimer
BCC is not liable for any safety hazards or injuries arising from products that remain incomplete or unfinished by other parties. BCC is not liable for personal injury from installed cabinetry beyond warranty repairs, barring willful misconduct. BCC’s responsibility is limited to the manufacturing and delivery of products as per the specifications agreed upon at the time of contract execution. BCC does not assume any responsibility for assembly, installation, or finishing by third parties, nor for any alterations or modifications made by others.

Limitation of Liability for Incidental Damage
BCC shall perform all services with reasonable care and skill consistent with industry standards. However, BCC is not liable for incidental damage to the job site or surrounding property occurring during the performance of services, including but not limited to: (a) damage to concealed water lines, plumbing, electrical wiring, or other utilities caused by drilling, screwing, or affixing cabinetry; (b) scratches, dents, or scuffs to drywall, flooring, or other surfaces resulting from the movement or installation of cabinetry; or (c) other unintended damage arising from normal installation activities.

Client acknowledges that such risks are inherent in cabinetry installation and agrees to:

• Provide BCC with accurate plans, blueprints, or disclosures identifying the location of concealed utilities prior to work commencing;
• Assume responsibility for repairing or mitigating such incidental damage unless caused by BCC’s gross negligence or willful misconduct

BCC will notify Client promptly of any discovered damage and, at Client’s request and expense, assist in coordinating repairs through a qualified third party. This limitation does not apply to damage caused by BCC’s intentional acts or reckless disregard of known risks.

BCC isn’t liable for subcontractor acts; Client pursues subcontractors directly for their errors, per BCC’s subcontractor agreements.

Client Responsibility
The Client acknowledges that any unfinished or partially assembled products may pose safety risks. It is the Client’s responsibility to ensure that a qualified and licensed professional completes any necessary finishing work, assembly, or installation to meet safety standards and building codes.

Entire Agreement
This contract constitutes the entire agreement between the parties regarding the project and supersedes all prior contracts, negotiations, discussions, agreements, or understandings, whether written or oral. By accepting this contract, the Client agrees that any previous contracts for this job are void. Amendments or modifications to this contract must be in writing and signed by both parties to be valid.
